Krzysztof Kaczmarczyk

Mr Krzysztof Kaczmarczyk was appointed by the Extraordinary General Meeting of Shareholders on 8 October 2019 to hold the position of the Member of the Supervisory Board of ELEKTROTIM S.A.

Education, Qualifications, and Previous Positions Together with the Description of Professional Experience:

Graduate of SGH Warsaw School of Economics with speciality of Finance and Accounting and former student of the University of Warsaw, Faculty of International Relations.

In 1999-2008 he worked for Deutsche Bank in Poland in the position of, among others, Deputy Share Market Analysis Director and Share Market Analyst - Central and Eastern Europe region. In 2008-2010 he held different functions in TP S.A. Group, including Head of the Strategy and Development Department. In 2010-2011 he worked for the Swiss investment bank Credit Suisse in Poland. In 2012-2015 he held the position of Vice President of the Board for Strategies and Development in Emitel - leading operator of the overhead radio and TV network in Poland. In 2016-2018 he was the Consultatnt to the Board of KGHM Polska Miedź S.A.

 Currently, he is an independent Member of Supervisory Boards of WSE-listed companies.

 He gained his 15-year experience being a member of Supervisory Boards in over 30 companies listed on the Warsaw Stock Exchange, including: Action, Alta, Arteria, Braster, Best, BSC Drukarnia, Celon Pharma, Duon, Giełda Papierów Wartościowych, Graal, Integer, InPost, KGHM, LC Corp, Magellan, Mabion, Polimex-Mostostal, Polish Energy Partners, Robyg, SARE, Wirtualna Polska, Work Service, VIGO, 4fun Media.

According to the statement submitted to the Company, Krzysztof Kaczmarczyk does not run a business competitive in relation to ELEKTROTIM S.A. and is not a partner in any private partnership, partnership or a member of a joint stock company, and does not operate in any other competitive legal person as a member of its body.

According to the statement submitted to the Company, Krzysztof Kaczmarczyk is not listed in the Register of Insolvent Debtors maintained on the basis of an act by The National Court Register.

According to the declaration filed with the Company Krzysztof Kaczmarczyk does not meet the criteria for the independent Member of the the Supervisory Board, specified in Annexe No. 2 to the Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board, as well as criteria set forth in a detailed rule II.Z.4. of "Good Practices of WSE Listed Companies 2016".

The mandate of Krzysztof Kaczmarczyk shall expire at the General Meeting of Shareholders of endorsing the Financial Reports of ELEKTROTIM S.A. for 2021.
