Krzysztof Kaczmarczyk

Member of the Supervisory Board

Krzysztof Kaczmarczyk, Member of the Supervisory Board of ELEKTROTIM S.A., is a recognized expert in finance, strategy and business development. A graduate of the Warsaw School of Economics, with extensive experience in managing capital companies and supervising their operational and strategic activities.

A graduate of the Warsaw School of Economics, where he graduated with a specialization in finance and accounting, and a former student at the University of Warsaw, majoring in International Relations.

 

From 1999 to 2008, he worked at Deutsche Bank in Poland, where he served, among others, as Deputy Director of the Equity Market Analysis Department and Equity Market Analyst for the Central and Eastern Europe region. Between 2008 and 2010, he held various managerial positions within the TP S.A. Group, including Director of the Strategy and Development Division. In 2010-2011, he worked at the Swiss investment bank Credit Suisse in Poland. From 2012 to 2015, he served as Vice President of the Management Board for Strategy and Development at Emitel, a leading terrestrial radio and television network operator in Poland. From 2016 to 2019, he was an Advisor to the Management Board of KGHM Polska Miedź S.A. Between 2021 and 2025, he served as President of the Management Board of Mabion S.A., a biotechnology company listed on the Warsaw Stock Exchange. Currently he is an independent member of the supervisory boards of companies listed on the Warsaw Stock Exchange.

 

He has gained nearly 20 years of supervisory experience by serving on the supervisory boards of companies listed on the Warsaw Stock Exchange as well as other entities, including, among others: Action, Alta, APS Energia, Arteria, Braster, Best, BSC Drukarnia, Celon Pharma, CI Games, Elektrotim, Enter Air, Emitel, EnelMed, European Copper Institute, Duon, the Warsaw Stock Exchange, Graal, Huuuge Games, Integer, InPost, Info TV Operator, KGHM, KGHM International, KGHM TFI, Develia, Magellan, Mabion, NextBike, Polimex-Mostostal, Polish Energy Partners, Robyg, RSTV, SARE, TIM, TP Edukacja i Wypoczynek, Wirtualna Polska, Work Service, VIGO Photonics, and 4fun Media.

 

He has served as a member of the Supervisory Board of ELEKTROTIM S.A. since 2019.

 

According to the statement submitted to the Company, Mr. Krzysztof Kaczmarczyk does not carry out competitive activities in relation to ELEKTROTIM S.A., nor does he participate in a competitive company as a partner in a civil partnership, a partnership or as a member of a body of a capital company, nor does he participate in any other competitive legal person as a member of its managing body.

 

According to a statement made to the Company, Mr. Krzysztof Kaczmarczyk is not listed in the Register of Insolvent Debtors maintained under the KRS Act. According to the statement made to the Company, Mr. Krzysztof Kaczmarczyk meets the criteria provided for an independent member of the Supervisory Board as specified in the Act of May 11, 2017, on auditors, audit firms and public supervision, as well as the criteria listed in the Good Practices of Companies Listed on the WSE 2021.

 

The mandate of Mr. Krzysztof Kaczmarczyk will expire no later than the date of the ordinary general meeting approving the financial statements of ELEKTROTIM S.A. for 2026.
