Lesław Kula

Member of the Supervisory Board

Lesław Kula, Member of the Supervisory Board, is an experienced lawyer and expert in management and business consulting. A graduate of the University of Warsaw, with extensive experience in corporate restructuring, legal consulting and corporate governance in both the private and public sectors.

A graduate of the Faculty of Law and Administration and the Faculty of History at the University of Warsaw. He began his career in 1982 as a scientific secretary at the Center for Documentation and Social Studies, and later as an editor at NOVUM Publishing Institute and editor-in-chief at SONOR Publishing Institute.

 

In the course of his career, he held managerial positions, including as the president of the managing board of POLARTIS S.A. and EMIASTA.PL S.A. He completed a course in debt advisory services at the Development Law Institute in Rome and London, which allowed him to specialize in the areas of restructuring and legal advice for companies.

 

From 1994 to 2007, he served as a receiver and court supervisor at the Warsaw Commercial Court. From 2000 to 2008, he worked with the Ministry of the Treasury, handling the promotion and privatization of state-owned companies. Since 1997, he has served as chairman of the president of the managing board of VARENA GROUP sp. z o.o., a company specializing in management consulting and comprehensive legal services for business entities.

 

Since 2001, he has been affiliated with WSZECHNICA POLSKA Szkola Wyższa in Warsaw, where he has held numerous positions, including head of postgraduate studies, project manager and secretary, rector’s attorney, and lecturer in legal subjects. He has been a member of this university’s Senate since 2003.

 

From 2019–present, he is serving on the Supervisory Board of Poznan Construction Corporation PeKaBeX S.A.

 

Mr. Lesław Kula also has extensive experience in corporate governance, having served on the supervisory boards of state-owned companies, as well as public and private companies.

 

According to the statement submitted to the Company, Mr. Lesław Kula does not carry out competitive activities in relation to ELEKTROTIM S.A., nor does he participate in a competitive company as a partner in a civil partnership, a partnership or as a member of a body of a capital company, nor does he participate in any other competitive legal person as a member of its managing body.

 

According to a statement made to the Company, Mr. Lesław Kula is not listed in the Register of Insolvent Debtors maintained under the KRS Act. According to the statement made to the Company, Mr. Lesław Kula meets the criteria provided for an independent member of the Supervisory Board as specified in the Act on Auditors, Audit Firms and Public Supervision of May 11, 2017, as well as the criteria listed in the Good Practices of Companies Listed on the WSE 2021.

 

Mr. Lesław Kula’s mandate will expire no later than the date of the ordinary general meeting approving the financial statements of ELEKTROTIM S.A. for 2026.
